Terms of Service

1. Acceptance of terms

By accessing or using vyaparcred.com, registering an account, posting an RFQ, submitting a quote, or applying for any financing program (collectively, the “service”), you agree to be bound by these Terms of Service and by our Privacy Policy. If you are using the service on behalf of a business, you confirm you are authorised to bind that business to these terms. If you do not agree, do not use the service.

2. Who can use the service

VyaparCred is a business-to-business platform intended solely for verified businesses engaged in the solar supply chain, buyers, EPCs, developers, manufacturers, suppliers, and their authorised representatives. The service is not directed at consumers and is not intended for personal or household use. We may verify the businesses, documents, and people who use the service, and we may decline, suspend, or remove access at our discretion where verification fails or where use falls outside the intended purpose.

3. Accounts & eligibility

To use most features you must register an account and provide accurate, current, and complete information, including business details required for verification. You are responsible for safeguarding your credentials and for all activity under your account. You must notify us promptly at support@vyaparcred.com of any unauthorised use. We may require additional documentation, and we may refuse registration or close accounts that contain false, incomplete, or misleading information.

4. The marketplace

VyaparCred operates a marketplace that facilitates connections between buyers and verified suppliers across solar BOM categories and sourcing corridors. We are an intermediary and facilitator, we are not the seller, manufacturer, importer, or shipper of any goods listed, and we are not a party to the contract of sale between a buyer and a supplier unless expressly stated in writing.

Quotes, prices, landed-cost estimates, lead times, specifications, and certification references (including references to BIS, IEC, ALMM, or MNRE) surfaced through the service are indicative and provided for evaluation purposes. They are subject to change, supplier confirmation, availability, inspection, and the final terms agreed directly between buyer and supplier. Buyers are responsible for their own due diligence, including verifying specifications, compliance, certifications, and fitness for purpose before transacting.

5. Financing programs

VyaparCred may make available financing options, including PO Finance, Trade Finance & LC, Invoice Discounting, and Vendor Payment. These programs are provided by third-party lenders and financial institutions, not by VyaparCred. We facilitate introductions and the application process; we do not lend, guarantee credit, or commit funds.

Any figures presented in connection with financing, such as the share of order value funded, approval timelines, disbursement timelines, or supplier-payment timelines, are illustrative and indicative only. They do not constitute an offer of credit, a commitment to lend, or a guarantee of any outcome. All financing is subject to the lender’s underwriting, eligibility criteria, documentation, pricing, and approval, and to applicable law. Actual terms are governed by the agreement you enter into directly with the relevant lender.

6. RFQs & transactions

When you post an RFQ, submit a quote, or otherwise transact through the service, you represent that the information you provide is accurate and that you have authority to make the request or offer. Contracts for the purchase and sale of goods, and any related shipping, insurance, customs, payment, warranty, and acceptance terms, are formed and performed directly between buyer and supplier. VyaparCred is not responsible for the performance, quality, delivery, or payment obligations of any user, and does not guarantee that any RFQ will result in a quote or that any quote will result in a completed transaction.

7. Fees

Use of certain features may be subject to fees. Where fees apply, we will communicate them to you in advance, and applicable taxes may be added. Fees charged by third-party lenders or service providers are set by those parties and disclosed in their own agreements. Unless required by law or stated otherwise in writing, fees are non-refundable.

8. Acceptable use

You agree not to misuse the service. In particular, you will not: provide false, fraudulent, or misleading information; infringe the rights of others; upload malicious code or attempt to gain unauthorised access; scrape, harvest, or extract data except as permitted; circumvent verification, security, or rate limits; use the service to launder money, evade sanctions, or violate trade or export controls; or use the service for any unlawful purpose. We may investigate and take appropriate action, including suspension or termination, for any suspected breach.

9. Intellectual property

The service, including its software, design, text, graphics, logos, and the VyaparCred name and marks, is owned by VyaparCred or its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the service for its intended business purpose. You retain rights in the content you submit, and you grant us a licence to host, process, and use that content as needed to operate and improve the service. You may not copy, modify, distribute, or create derivative works from the service without our prior written consent.

10. Disclaimers & no warranty

The service is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, VyaparCred disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or secure, or that information surfaced through it, including quotes, estimates, lead times, and financing figures, is accurate, complete, or current. Any reliance you place on such information is at your own risk.

11. Limitation of liability

To the maximum extent permitted by law, VyaparCred and its affiliates, officers, employees, and partners will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business, arising out of or in connection with your use of the service, whether based in contract, tort, or otherwise, even if advised of the possibility of such damages. Nothing in these terms limits liability that cannot be limited under applicable law.

12. Indemnity

You agree to indemnify and hold harmless VyaparCred and its affiliates from any claims, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising out of your use of the service, your content, your transactions with other users or lenders, or your breach of these terms or of any applicable law.

13. Governing law

These terms are governed by the laws of India, without regard to conflict-of-laws principles. Subject to any rights you may have under applicable law, you agree that disputes arising out of or relating to these terms or the service will be subject to the jurisdiction of the competent courts in India.

14. Changes to terms

We may update these terms from time to time. When we do, we will revise the “Last updated” line above. Material changes may be communicated through the service or by email. Your continued use of the service after changes take effect constitutes acceptance of the revised terms.
